Bylaws of the Racking Horse Pleasure Association
Article I
NAME
This association shall be known as the racking Horse Pleasure Association.
Article II
OBJECT
To promote the Racking Horse and guide the Pleasure Association members in promoting Pleasure Racking Horses and the interest of its members.
Article III
MEMBERS
Section 3.1 Membership
A potential member of the Pleasure Association must be a member in good standing the Racking Horse Breeders Association of America (RHBAA), having his/her dues paid. In order to vote on any matter within the Pleasure Association, a member must be 18 years of age or older and must have paid his/her dues in the association for the current year.
Section3.2 Dues
The dues of a member of the Pleasure Association shall be set by a majority vote of the members and only be changed in the preceding year. Beginning Jan. 1, 2002 the new dues will be $15 for single and $25 for a family. Family shall consist of the member, Spouse,
Children, Step-children and legal guardian.
Section 3.3 Termination of Membership
Membership in the Pleasure Association shall terminate upon the occurrence of any of the following:
1. Death of a member
2. Failure of a member to pay their dues.
3. Written resignation from a member to the President or Sec.
ARTICLE IV
OFFICERS
Section 4.1 Officers
The officers of the Pleasure Association shall be:
1. President
2. Vice-President
3. Secretary
4. Treasurer
Section 4.2 President:
The president shall preside at any meeting of the members at which
He/she is present, and have all powers and duties usually incident to the office of president. The president hsall have such other powers and perform other duties as may be assigned to him/her from time to time by the members. The president shall be an ex-officio member of all committees.
Section 4.3 Vice-President
In the absence or disability of the president, the vice-president shall perform the duties and exercise the powers of the president. In the event of the death or resignation of the president, the vice-president shall fill the office of the president until the next annual meeting of the members. At this annual meeting the members shall elect someone to fill the office of president.
Section 4.4 Secretary
The Secretary shall act as secretary of all meetings of the members at which he/she is present. The secretary shall keep records of all meetings and shall have supervision over the giving and service of notices of the association and shall have the responsibility of the care and custody of all records of the association. The secretary may have other power and duties that may be assigned by the members or the president of the association.
Section 4.5 Treasurer
The treasurer shall have general supervision over the care and custody of the funds and over the receipts and disbursements of the association, and shall cause the funds of the association to be deposited in the name of the association in such bank as may be designated by the association. The treasurer shall be the chief accounting officer of the association and shall have supervision over the maintenance and custody of the accounting operation of the association. The treasurer shall be required to give an account of all monies and expenditures at all meetings of the association. The treasurer shall have all power and duties usually incident to the office of treasurer.
Section 4.6 Term of Office
The term of office for the president, the vice-president, secretary
and treasurer shall be for two (2) years.
Section 4.7 Nominations and Elections.
The election of officers shall be held at the association’s annual
meeting. The annual meeting shall be held during the Fall
Celebration of the RHBAA during the month of September at
Priceville, Alabama.
Before a member can be nominated for an office they must be a member of the association for the two preceding years.
The officers elected in September will take office on January 1st of the following year. Any member in good standing (Article III, Section 3.1) shall be eligible to be nominated for any office. Nominations will be taken from the floor, from the members present and will be voted on by a hand count or secret ballot. A majority vote shall constitute a winner.
ARTICLE V
MEETINGS
Section 5.1
The pleasure association shall have four (4) meetings per year.
1. Annual Meeting (Fall Celebration)
2. Winter Meetings of the RHBAA
3. Spring Celebration
4. Shelbyville Classic
The date, time and precise location will be announced in a timely manner before each meeting.
Section 5.2 Special Meetings
A special meeting may be called at any time that there is an emergency that had a need so great that it cannot wait for a regular
Meeting.
Section 5.3 Quorum
Members present at any of the four (4) meetings of the Pleasure Association shall and will constitute a quorum.
ARTICLE VI
Committees
Section 6.1 Advisory Committee (Board of Directors)
The Board of Directors shall consist of four (4) members of the
Pleasure Association chosen from the membership in addition to the officers. The President will serve on this committee as chairperson. This board is to advise the president and to give input as to the direction the association should go. The Board of Directors should assist the officers of the association in the handling of business between regular meetings. The Board of Directors should and must consider all members and make decisions that will enhance this association in all of it’s endeavors.
Term of office for the Board of Directors members will be on a rotating basis.
One (1) member will serve a four (4) year term.
One (1) member will serve a three (3) year term.
One (1) member will serve a two (2) year term.
One (1) member will serve a one (1) year term.
Each year the membership will have the opportunity to replace one (1) member of this Board. The new member will be elected at the annual membership meeting of the Pleasure Association and will have a four (4) year term. This becomes effective January 1, 2002.
Section 6.2 Other Committees
This section allows the appointments of other committees as may be needed to carry on the business of the Pleasure Association.
ARTICLE VIII
AMENDMENTS OF THE BYLAWS
The bylaws of this association may be amended. In order for a bylaw to be amended, a member of the Pleasure Association
(Article III, Section 3.1), must make the amendment in writing to the secretary of the Pleasures Association forty five (45) days before the annual meeting of this association. The secretary shall make copies of the amendment so the members can have copies at the next meeting of the members. In order for an amendment of the bylaws to pass it must receive a two-thirds (2/3) vote from the members voting at the meeting. Unless otherwise specified all amendments will go into effect at the time of the passage.
ARTICLE IX
DISSOLUTION
Should for any reason this Pleasure Association be dissolved any and all assets will be given to the Racking Horse Breeders’
Association.
